Partner Agreement

This document is a general template and does not replace legal advice. Before a partner signs it and starts generating real commissions, have it reviewed by a lawyer — it covers real money and, in section 6, access to your customers' data.

1. Parties and purpose

This Partner Agreement ("Agreement") is entered into between Ayoub Laroussi, a natural person based in Spain, operating under the DatotecAudit brand ("DatotecAudit"), and the person or company enrolling in the Partner Program through the application at datotecaudit.com/en/#affiliates ("the Partner").

It governs the referral and commission relationship described here. It does not make the Partner an employee, agent, or legal representative of DatotecAudit, and does not create any partnership or exclusivity between the two parties.

2. Commission structure

The level is recalculated automatically based on the number of clients with an active paid subscription referred by the Partner at any given time — not the all-time cumulative total. The percentage applied to each payment is the one for the Partner's level on the date of that payment, not the level the Partner had when the client was referred.

Commission for a given client is generated for 12 consecutive months from their first payment on a paid plan (Professional or Enterprise). After that period, that client permanently stops generating commission, even if they remain a DatotecAudit customer. Elite-level partners continue to receive co-marketing after the 12 months, but no further cash commission.

3. Commission clawback

If a referred client cancels their subscription within the first 3 months of their first payment, DatotecAudit recovers the commission already generated by that client, deducting it from the Partner's next pending commission payments. If the pending balance doesn't cover the amount, the remainder is carried as a negative balance to be deducted from future commissions — DatotecAudit will not otherwise claim that amount from the Partner.

A full refund to a referred client triggers a 100% clawback of the commission tied to that specific payment, at any time, with no 3-month limit.

4. Referral attribution

Attribution uses a 30-day cookie from the click on the Partner's unique link, on a "last-click" model: if the same user clicks links from different partners before subscribing, attribution goes to the most recent click within that 30-day window. Once the referred client's first paid payment is confirmed, attribution is locked and does not change even if the client later clicks another partner's link.

5. Commission payment

Payment is handled through Lemon Squeezy's Affiliates feature. DatotecAudit configures the percentage corresponding to the Partner's current level; adjustments for level changes may take time to apply manually and are not automatic in real time.

6. Access to end-customer data

The Partner does not have default access to the audits, traces, agent connections, or any product usage data of their referred clients. The Partner dashboard only shows: a list of referred clients (basic identifier, plan, status), commissions, and the Partner's own referral link.

An end customer may grant the Partner direct access to their own account if they choose to, by adding them as a collaborator from their own dashboard — this access is independent of the commission program and is governed by the customer's Terms of Service, not by this Agreement. If the Partner receives that access, they agree to treat any customer data they access with the same confidentiality they would expect from their own vendor, and solely for the purpose the customer granted it.

7. Confidentiality

The Partner agrees not to disclose commercial terms, commission percentages, or customer information obtained through the program, unless DatotecAudit expressly authorizes it in writing.

8. Grounds for removal from the program

DatotecAudit may suspend or remove a Partner from the program, without any pending commission if the cause is fraud, including: click fraud or artificial generation of referrals, use of spam or deceptive practices to obtain referrals, breach of section 7, or repeated breach of DatotecAudit's general Terms of Service.

9. Billing

Unless otherwise agreed in writing, the Partner is responsible for issuing their own invoice to DatotecAudit for commissions earned, in accordance with their applicable tax regime. DatotecAudit does not act as a payroll processor or withhold taxes on the Partner's behalf.

10. Term and termination

This Agreement remains in effect while the Partner is active in the program. Either party may terminate it at any time, without penalty, by written notice. Commissions already earned and not subject to clawback at the time of termination are paid as normal.
